Medhelp Class "A" preferred shares are convertible after a three-year holding period ending June 30, 2008 at the holders option into 1 common share of Medhelp . The Medhelp Class "A" preferred shares will pay a stock dividend-in-kind consisting of common shares of Medhelp priced at $1.00 or of equity securities of investment positions held by Medhelp priced at their closing prices on the date of declaration of the dividend-in-kind.
